EVOLVE

Terms of Use & Participant Agreement

EVOLVE Physiotherapy Ltd. • Effective date: 06 September 2026

This Terms of Use & Participant Agreement (this “Agreement”) governs your enrolment in and use of Foundational Concepts in Clinical Reasoning and any other course, program, mentorship offering, or educational service that EVOLVE Physiotherapy Ltd. (“EVOLVE,” “we,” “us,” or “our”) makes available now or in the future (each, a “Program”). You agree to this Agreement by checking the agreement box provided when you create your account or register for a Program, or by otherwise accessing a Program — that single action confirms your agreement to everything in this Agreement, including the professional-capacity confirmation in section 2 below. If you do not agree, please do not register.

This Agreement is written to apply across EVOLVE's full range of Programs, so that launching a new course or mentorship offering does not require rewriting this Agreement. Details that change from Program to Program — dates, pricing, access duration, cancellation and refund terms, and completion requirements — are set out in the Program-Specific Terms for that Program, published on the relevant course or registration page, and form part of this Agreement by reference.

1. Definitions

“Materials” means all content EVOLVE makes available in connection with a Program — recorded and live video, presentations, slides, diagrams, worksheets, exercises, written clinical cases, templates, and any other educational resource, in any format, including the EVOLVE Clinical Reasoning Framework and its associated materials.

“Program-Specific Terms” means the dates, fees, access period, cancellation and refund policy, and completion requirements published for a particular Program at the time of registration.

“Patient Information” means any information about a patient or client, whether or not that person could be identified from the information alone.

“Platform” means Thinkific and any other learning management, video, or communication platform EVOLVE uses to deliver a Program.

EVOLVE Physiotherapy Ltd. is located at Whistler, British Columbia, Canada.

2. Your Professional Capacity

EVOLVE's Programs are professional education, offered to health professionals, students, and others working in professional or health-adjacent roles, for use in their professional development and practice. By registering, you confirm that you are enrolling in your professional capacity, for purposes connected to your professional development, practice, or work, and not for personal, family, or household purposes.

3. Accounts and Access

3.1 Programs are provided through the Platform. You will register for an individual account and are responsible for keeping your login credentials confidential.

3.2 Your access is personal to you. You may not share your account or login with any other person, and you may not permit any other person to access a Program using your account.

3.3 Your access period, and any conditions on renewing or extending it, are set out in the Program-Specific Terms.

4. Intellectual Property

4.1 Ownership. EVOLVE owns all rights, including copyright and trademark rights, in the Materials, including the EVOLVE Clinical Reasoning Framework as expressed in the Materials, and in the EVOLVE name and any related program names, logos, and marks.

4.2 Your license. Subject to this Agreement, EVOLVE grants you a personal, non-transferable, non-exclusive license to access and use the Materials for your own professional learning and development, and to apply what you learn in your own clinical practice, teaching in the ordinary course of your own practice, and professional work.

4.3 What you may do. You may view and use the Materials, take your own notes, discuss what you have learned, and apply the concepts, reasoning, and skills you gain to your own professional practice, including in conversations with colleagues, students, and patients.

4.4 What you may not do. Except as this Agreement expressly permits, you may not copy, reproduce, distribute, publish, upload, post, sell, license, rent, or otherwise share the Materials, or any substantial part of them, with any other person or organization; use the Materials to create a competing course, program, or other commercial educational product; or present, teach, or repurpose the Materials, or a substantial recreation of them, as your own. This does not restrict your ability to describe, in your own words, what you learned or how it has informed your practice — it restricts reproducing or repurposing EVOLVE's own materials and their particular expression.

4.5 Feedback. If you give EVOLVE feedback or suggestions about a Program, EVOLVE may use that feedback without any obligation to you.

5. Confidentiality

5.1 Patient information. You must not disclose identifiable patient information in any Program setting, including on the Platform, in assignments, in live sessions, in mentorship discussions, or in recordings. When discussing a clinical case, de-identify it appropriately — remove or alter any detail that could reasonably identify the patient, not only their name. You remain responsible for complying with your own professional, regulatory, and privacy obligations regarding patient information, in every jurisdiction in which you practice.

5.2 What other participants share. Other participants and mentors may share professional experiences, case discussions, and perspectives during a Program. Treat this information as confidential, and do not share it outside the Program without the speaker's permission. This does not restrict your ability to use your own general knowledge, skills, and clinical reasoning — developed through the Program — in your own practice and teaching.

6. Live Sessions and Recordings

6.1 EVOLVE may record live sessions, including mentorship sessions, for participants' later reference, and will give reasonable notice before recording a session.

6.2 Recordings may be made available to Participants enrolled in the same Program for a limited period, as set out in the Program-Specific Terms, and are subject to the same restrictions on use as other Materials.

6.3 You may not record, screen-capture, or otherwise reproduce a live session, or any other Program content, except as EVOLVE expressly permits.

7. Professional Responsibility

EVOLVE's Programs provide professional education and mentorship. They are not a substitute for your own clinical judgment, and EVOLVE and its mentors and presenters do not assume responsibility for your patients or your clinical decisions. You remain responsible, at all times, for your own professional judgment, scope of practice, applicable regulatory requirements, and the appropriateness of any technique, approach, or information for a particular patient. EVOLVE develops its Programs to reflect current, evidence-informed practice.

8. Participant Conduct; Suspension and Termination

8.1 You agree to participate respectfully and professionally, including toward EVOLVE's staff, mentors, presenters, and fellow participants.

8.2 If you materially breach this Agreement — including by sharing your account, reproducing or distributing Materials, or disclosing identifiable patient information — EVOLVE may suspend or terminate your access. Where the breach is minor and capable of being corrected, EVOLVE will generally give you notice and a reasonable opportunity to correct it before suspending or terminating your access; EVOLVE may act immediately, without notice, for a serious breach, including unauthorized reproduction or distribution of Materials.

8.3 Termination of your access does not entitle you to a refund, except as the Program-Specific Terms or applicable law provides.

9. Fees, Cancellation and Refunds

Fees, payment terms, and the cancellation and refund policy for a Program are set out in that Program's Program-Specific Terms, which form part of this Agreement.

10. Third-Party Services

EVOLVE uses Thinkific and third-party payment processors to deliver and administer Programs. Your use of the Platform and any payment processor is also subject to their own terms. EVOLVE's Privacy Policy describes how personal information is handled in connection with these services.

11. Disclaimers

Materials are provided for educational purposes and are provided “as is.” While EVOLVE takes care to provide accurate, current, and evidence-informed content, EVOLVE does not warrant that the Materials are complete, error-free, or suitable for any particular clinical situation. EVOLVE may update or correct Materials from time to time.

12. Limitation of Liability

To the extent permitted by law, EVOLVE's total liability to you arising out of or in connection with a Program is limited to the amount you paid for that Program. This limitation does not apply to, and nothing in this Agreement limits or excludes, liability that cannot be limited or excluded by law, including liability for gross negligence or willful misconduct.

13. Governing Law

This Agreement is governed by the laws of British Columbia and the federal laws of Canada applicable in British Columbia. Nothing in this section is intended to override any right you may have under mandatory consumer-protection or other legislation that applies to you and cannot be excluded by agreement.

14. International Participants

EVOLVE's Programs are designed for, and marketed to, a Canadian audience. If you are located outside Canada, your enrolment is subject to this Agreement, and you are responsible for determining whether enrolling in a Program complies with the laws applicable to you. Nothing in this Agreement is intended to override any mandatory right you may have under the law of your own jurisdiction.

15. Changes to this Agreement

EVOLVE may update this Agreement from time to time. If you are actively enrolled in a Program, changes will not apply to that Program until you renew or re-enroll, except as needed to reflect a legal requirement. EVOLVE will give reasonable notice of material changes before they take effect for new enrolments.

16. General

16.1 If any provision of this Agreement is found unenforceable, the rest continues to apply.

16.2 EVOLVE's failure to enforce a provision is not a waiver of it.

16.3 EVOLVE may assign this Agreement in connection with a sale or reorganization of its business, on notice to you.

16.4 This Agreement, together with the applicable Program-Specific Terms and the EVOLVE Privacy Policy, is the entire agreement between you and EVOLVE regarding your Program participation.
